The proposed subsidiary, Fabtech Technologies Cleanrooms-FZE, will be incorporated with an authorised and paid-up share capital not exceeding AED 1,00,000. Fabtech Technologies Cleanrooms Limited will hold 100% of the paid-up share capital, making the new entity a fully owned overseas subsidiary.
The UAE-based subsidiary will focus on the manufacturing of cleanroom partitions, primarily catering to group entities including Fabtech Technologies Limited and Fabtech Technologies Cleanrooms Limited (India). In addition, the unit will also service Indian clients, leveraging supply-chain efficiencies and opportunities arising under the UAE–India trade framework.
According to the company, the incorporation of the subsidiary will be categorised as a related party transaction. However, the promoters and promoter group do not have any interest in the subsidiary beyond its incorporation. The entire investment will be made through cash subscription to the equity share capital at face value per share.
